Preparation and managing the investment Małe and Duże Wytowno.
On 14 December 2006 the partners adopted a resolution to purchase an undeveloped land in Wytowno No 86/1 and 83/2, Ustka commune, with the total area of 24 ha, to serve as a development area.
Pursuant to the Notarial Deed Rep. A No. 779/2007 as of 14.12.2006 signed in the Notary’s Office in Słupsk before the Notary Radosław Rynkiewicz an agreement was concluded of transferring the ownership of the land No. 86/1 and 83/2 with the area of 24 ha to the benefit of the Company for investment purposes, transforming it, preparing projects in order to obtain a building permit, divide the property and connect the media.
On 08.03.2007 the company ordered preparing maps for planning and project purposes for lands No. 83/2 and 86/1 – performed by APiON Słupsk.
On 21.02.2007 and 26.03.2007 the District Court in Słupsk, 7th Land and Mortgage Register informed the Company about making an entry of the properties purchased in Wytowno to the benefit of the Company.
Pursuant to the company’s application submitted to the Land and Mortgage Register at the District Court in Słupsk on 03.04.2007 and 27.04.2007 there is a change in the owner in the Land and Mortgage Register kept by the District Court in Słupsk from Pomerania Nieruchomości Ustka Sp. z o.o. in the process of formation to „ Pomerania Nieruchomości Ustka „ Sp. z o.o.
The Company submits an application to the Agency for Restructuring and Modernisation of Agriculture in Warsaw – district office in Słupsk for assigning an ID number together with an application to receive payment for the year 2007 for agricultural lands. On 30.04.2007 the company is assigned an ID number: 061483505
Every year, based on the decision, in November and December the company receives financial support for the land with unfavourable management conditions. The second decision for payment within the foregoing direct support applies to lands in Wytowno, Ustka commune with the area of 23,27 ha.
On 28.06.2007 the company signed a preliminary contract for the sales of property with Beta Styl Development with its registered office in Przewłoka for the purchase of land No. 712 with the area of 10.795 m2 in Przewłoka, Ustka commune for the total price of 906.708,00 PLN pursuant to the Resolution of the Meeting of Shareholders as of 26.06.2007.
On 31.08.2007 a Notarial Deed Rep. A No. 7936/2007 is signed in the Notary’s Office of Radosław Rynkiewicz in Słupsk – sales agreement. The Company purchased an undeveloped land No. 712 with the area of 1,0795 ha. in Przewłoka, Ustka commune.
The aim of the investment was to divide the property into building plots, connecting it to media, water supply network, sewage system, gas networks and power grid, as well as building access roads to every plot.
On 11.09.2007 the Management Board submitted a letter of intent to the Head of Ustka Commune about the commune’s interest in residential and service developments placed on the land owned by the Company, where the company plans to run its own investment in Wytowno, Ustka commune, on the area of 24 ha, which is an impulse for discussion and for later actions connected with preparing materials needed for the change of the local plan. Head of Ustka Commune and Councillors accept the company’s plan due to the possibility of enjoying the profits, taxes and fees for the creation of about 130 plots for housing, service and summer developments at the seaside, as well as employing workers from Ustka commune for this investment and after it’s finished.
The Management Board commissions the division of the land No. 712 into 10 plots, including an internal access road.
On 29.10.2007 the Management Board signs a contract of mandate with the Urban Planning Company in Sopot for preparing the concept of water and wastewater management of the land at the seaside in Ustka commune (a team of experts under the supervision of dr inż. Tadeusz Gruszecki from Koszalin). This is necessary to present the solutions for water supply and discharging of waste from the land owned by the company in Wytowno with the area of 24 ha, as well as to start preparing a local development plan for the company’s property. On 17.06.2008 the concept was prepared and submitted to Ustka Commune Office and to ZUW sp. z o.o. in Słupsk, which manages the water and sewage system in Ustka.
On 03.05.2008 the company signs an agreement with „SJ – SYSTEM” design studio to prepare a project documentation of the network and water supply connections, as well as the sanitary sewage system for lands No. from 712/3 to 712/9 in Przewłoka, Ustka commune, after the division of land No. 712.
On 29.05.2008 the company sings an agreement with the Head of Ustka Commune for connecting and handing over of the internal sanitary and water sewage system on the land No. 712/10 in Przewłoka, as well as an access road.
On 02.06.2008 the company submits a motion to ENERGA – OPERATORA S.A. Branch in Słupsk to determine the conditions for connecting to the power grid of Lands from No. 712/1 to 712/9 located in Przewłoka, on 20.06.08 it obtains information about the foregoing conditions and on 27.06.2008 it signs an agreement for connecting to the power grid with ENERGA – OPERATORA S.A. Branch in Słupsk.
On 12.06.2008 the Ustka Commune Council adopts a Resolution No. XVI/183/2008 on preparing a local development plan of the land located in the north-western part of the geodetic area of Wytowno, Ustka commune for lands with registration numbers 83/2 and 86/1 with the total area of about 24 ha.
On 25.06.08 the company signs an agreement with the Pomeranian Distribution Network Operator Sp. z o.o. with its registered office in Gdańsk for connecting the lands in Przewłoka to the gas network after they are divided.
Pursuant to the decision No. G.VI.6018-280/08 as of 28.07.2008 the County Office in Słupsk allows to exclude from agricultural production for non-agricultural purposes the total area of 861 m2 on the land No. 712/10, which is intended to be an internal road in part of Przewłoka, Ustka commune after division.
Pursuant to the decision No. 628/08 as of 22.08.2008 of the County Office in Słupsk, the company receives an approved construction design and a permit for building a water supply network and sanitary sewage system to lands in Przewłoka with Zakład Usług Wodnych Sp. z o.o. with its registered office in Słupsk. On 25.09.2008 the company signs an agreement for developing an external water and sewage system to lands from No. 712/3 to 712/9 in Przewłoka.
Based on the Notarial Deed Rep. A No. 9530/2008 on 21.10.2008 the company sells the undeveloped property that was formed due to the division of land No. 712 in Przewłoka to a family living in Gdynia (now plot No. 712/4) with the area of 1.000 m2 together with the 1/9 share in the property of the land No. 712/10 and an access road with the area of 861 m2 for a prices of 165.000,00 PLN. The sale was based on the Resolution of Shareholders as of 06.09.2008.
Based on the Notarial Deed Rep. A No 10.498/2008 on 24.11.2008 the company sells the undeveloped properties in Przewłoka to a family living in Gdynia: land No. 712/5 with the area of 1.000 m2 and land No 712/8 with the area of 1.000 m2 and 2/9 share in the property of the land No 712/10 and an access road with the area of 861 m2 for the price of 290.000,00 PLN. The sale was based on the Resolution of Shareholders as of 18.11.2008.
On 24.11.2008 based on the Notarial Deed Rep. A No. 10.520/2008 the company bought from „ GHR” Spółka z o.o. with its registered office in Gdynia undeveloped properties with registration numbers 723,724 and 725 with the total area of 3.003 m2, as well as land No. 722 with the area of 1.001 m2, located in Przewłoka, Ustka commune for the price of 390.000,00 PLN pursuant to the Resolution of Shareholders as of 19.11.2008. The land will be prepared for sale by connecting it to all necessary media.
On 30.12.2008 based on the protocol commissioning of an external water and sewage system took place and pressure tests were performed on the foregoing lands in Przewłoka.
The company took necessary marketing steps to promote and advertise the prepared land in Przewłoka together with Europa company.
Based on the Decision No. 45/09 as of 23.01.2009 issued by the County Office in Słupsk Pomorska Spółka Gazownictwa Sp. z o.o. from Gdańsk received an approved construction design and a permit to build a medium pressure gas network for lands in Przewłoka, Ustka commune.
The company commissions preparing a documentation on soil and water conditions for the purpose of the area development plan for lands No. 83/2 and 86/1 in Wytowno, Ustka commune. The documentation was prepared by the design studio Geoprofil in Gdańsk in March 2009 and was delivered to the urban planning company in Sopot, which concluded an agreement with the company for preparing the documentation, collecting opinions and analysis, as well as developing changes in the local plan of Wytowno, Ustka commune.
On 10.03.2009 the company signs a sales agency agreement for the undeveloped properties in Przewłoka with „WEX” consulting office in Słupsk. It cooperates with EUROPA company on preparing the properties for sale, locating properties for purchasing, as well as on the further development of the company.
On 18.05.2009 the Poviat Construction Supervision Inspector in Słupsk issues a certificate PINB 7114/128/09/TB/K about finishing of the water supply network and sewage system on lands No 712/10. 712/3 to 712/9 in Przewłoka, Ustka commune.
Based on the Decision No. 392/09 as of 12.06.2009 issued by the County Commune in Słupsk ENERGA- OPERATOR Branch in Słupsk receives an approved building design and a permit for building the power line and transformer station in Przewłoka for our land and current investment.
The development of lands in Przewłoka started pursuant to concluded agreements for all media, water, sewage system, energy and gas. A new access road to the lands was also built. The company started an advertising campaign to promote the land and their sale started.
The remaining lands in Przewłoka are also put up for sale. Every land had a water supply network, a sewage system, a power grid, gas network and an access route connected.
The land No. 712/3 with the area of 1.000 m2 was sold based on the Notarial Deed Rep. A No.10372/ 2009 as of 26.10.2009 for the price of 149.000,00 PLN.
All lands in Przewłoka were sold.
Financial resources from the sale of lands in Przewłoka were used to purchase properties in Wytowno (Małe Wytowno), as well as for design works and partial development of lands in Duże Wytowno.
In May 2010 maintenance of the drainage ditch at lands 86/1 and 83/2 in Wytowno, Ustka commune was conducted based on the permit by Head of Ustka Commune.
The Ustka Commune Council on 30.06.2010 adopted a Resolution No. NR XXXVII/441/2011 on accepting the local development plan of the land located in the north-western part of the geodetic region in Wytowno, Ustka commune with the area of 24,77 ha, including lands No. 83/2, 84 and 86/1.
An agreement was concluded with Apion – Geodezja for the division of land No. 83/2 and 86/1 located in Wytowno, Ustka commune– an investment connected with implementing a local area development plan.
The company signs an agreement with the design studio „Projektowanie i Nadzór Autorski” in Koszalin and gives authorization dr inż. Tadeusz Gruszecki to design the technical infrastructure including the water supply network, sewage system, storm water drainage, as well as internal and communal roads in Wytowno for lands No. 86/1 and 83/2.
On 22 September 2010 in the Official Journal of the Pomeranian Voivodeship – Gdańsk No. 117 under the Resolution of the Commune Council in item 2285, the Resolution of Ustka Commune Council No XXXXVII/441/2010 as of 30 June 2010 is registered, which accepts the local area development plan for the area located in the north-western part of the geodetic region in Wytowno, Ustka commune.
Currently design works are conducted that include connecting media to lands in Wytowno owned by the company, as well as resolving all issued connected with the foregoing investment.
Lands in Przewłoka were prepared for sale in order to obtain financial resources for the investment in Wytowno, Ustka commune.
On 30.05.2011 two lands in Przewłoka No. 724 and 725 are sold and the funds are used to finish the investment in Wytowno, finishing design works of the water supply system, sewage system, storm water drainage, as well as building roads and sidewalks and rebuilding communal roads leading to Wytowno (1.700 metres).
The company received permission to build the sewage system, the storm water drainage, to rebuild the roads and sidewalks from the County Office in Słupsk. The office did not issue a permit for building a water supply network, which will be completed in cooperation with Beta Styl Development Sp. z o.o. with its registered office in Przewłoka and Ustka Commune – building of a common water intake in Wytowno for the purposes on Duże Wytowno investment or portable for particular investment projects.
The company cooperates with EUROPA company on preparing the properties for sale, locating of properties for purchase, investments and further development of the company.
A plan of supplying three lands in Wytowno in water was prepared (building of a Water Treatment Facility SUW – portable). The lands belong to the Company and to Beta Styl Development Sp. z o.o. and to Ustka commune. Our company paid its share for the plan that was executed by dr inż. Tadeusz Gruszecki, who coordinates the entire investment project to the extent of connecting the lands to all media and securing water supply to Duże Wytowno.
The Resolution of the Meeting of Shareholders No. 1/11/2011 as of 23.11.2011 agreed to purchase the property located in Wytowno No. 36/1 with the area of 1,15 ha. (Małe Wytowno).
Based on the Notarial Deed Rep. A No 3446/2011 as of 13.12.2011 the foregoing land was purchased, where currently development plans and plans to connect the media are prepared. The land is divided by the land surveying company and a preliminary plan of dividing the land and developing it was prepared. Materials and documents were prepared, surveying works were conducted to be submitted to the Head of Ustka Commune in order to obtain a decision about the development conditions for the new investment called Małe Wytowno.
The purchase of land in Wytowno, an investment called „ Małe Wytowno” and „Duże Wytowno” allows the company to develop and make profits in the future.
On 6.04.2012 based on the Notarial Deed Rep A No. 1485/2012 the company sells to ENERGA – OPERATOR S.A. Gdańsk, Branch in Słupsk two lands No. 83/67 with the area of 100 m2 and 86/97 with the area of 100 m2 located in Duże Wytowno, where pursuant to the project by ENERGA – OPERATOR S.A. two transformer stations will be located, which will cover the entire investment area.
In July 2012 the company obtained two decisions that approved construction plans and building permits for the sewage systems with house drains, a sewage pumping station PR1 and PR 2 with pressure lines and energy supply, storm water drainage with house drains from the street inlet, a reservoir and ditch outlet, internal roads and sidewalks in Wytowno, Ustka commune: Decision No 521/2010, and Decision No. 522/2010 of the County Office in Słupsk accepts the building project and grants a permit for building the pressure line of the sewage system, the sewage system with house drains and rebuilding communal roads in Wytowno.
The company cooperates with Ustka commune and Beta-Styl Sp. z o.o with its registered office in Przewłoka for a common investment of the construction of a Water Treatment Facility in Wytowno, which supplies water to Duże Wytowno. The company incurred a lot of costs to the extent of the investment. Based on the concept installing a container for water treatment for every land is more economical. For the Duże Wytowno investment the company will purchase a container for water treatment that will provide proper amount of water. The company has already found some offers from various manufacturers.
Agreements for the project and concept of Małe Wytowno were signed with the Design Studio „Projektowanie i Nadzór Autorski” in Koszalin and with dr inż. Tadeusz Gruszecki.
Based on the decision of the Regional Court for, 8th Economic Department KRS, file ref. No: GD.VIII NS-REJ.KRS/021344/12/283 as of 31.12.2012, Pomerania Nieruchomości Ustka sp. z o.o. was transformed into a Limited Liability Partnership under the name: Pomerania Nieruchomości spółka z ograniczona odpowiedzialnością spółka komandytowa.
Due to such transformation an opinion of the auditor Gertruda Rautman was issued on 08.11.2012. The auditor was appointed by the Registry Court in Gdańsk.
Projects for the divided lands of Małe Wytowno were prepared for the connection of media, water supply network, sewage system and storm water drainage. We are waiting for the Decision of the Head of Ustka Commune on the land development conditions in Wytowno to be able to submit the projects to the County Office in Słupsk and obtain a building permit.
On 25.09.2013 an agreement was concluded with Zakład Usług Wodnych sp. z o.o. in Słupsk on the participation in the costs of modernizing the pump room in Wytowno to provide water supply to Małe Wytowno investment. The agreement was executed and our company received preliminary conditions of water supply for Małe Wytowno investment for lands No. 539,540 and 540 ( 36/6 before division) from the Water Treatment Facility in Słupsk based on the consent of Ustka Commune.
The company also obtained a decision on waste removal from Małe Wytowno investment. Ustka Commune modernized and expanded the waste treatment plant in Rowy, Ustka commune, which ended in October 2013 and collects the waste from the entire commune.
Due to the modernization and expansion of the waste treatment plant in Rowy, waste is also collected from Duże Wytowno investment. Ustka is located at the seaside, therefore water collection and waste discharge is seasonal (holiday resorts). Thus, the company focuses on investments, building residential detached or twin houses in Małe Wytowno investment, which are currently in demand due to taxes, as well as better development and sale possibilities.
On 18.03.2013 ENERGA – OPERATOR S.A. Gdańsk Branch in Koszalin issued the conditions for connecting a small single-family and twin housing estates on lands No. 539, 540 and 541 located in Wytowno, Ustka commune to the power grid No. 13/P81/00827. Agreements for connecting the lands to a power grid No. 13/P81/R00827 were prepared, which the company will sign after obtaining a decision about development conditions for lands in Wytowno from the Head of Ustka Commune and obtaining a bank credit that will allow for financing Małe Wytowno investment.
On 27.09.2013 after collecting all documents, conditions and settling all issues connected with land surveying, currently the total land area is 1.2783 ha. Classification of land No. 539, 540 and 541 was changed from class III b to class IV, which was validated. The company submitted an application to issue a decision about development conditions for the Małe Wytowno investment.
The company obtained a Decision about development conditions from the Head of Ustka Commune on 30 December 2013 No. GEO.6730.104.2013, which became final on 23.01.2014.
Head of Ustka Commune issued the Decision on dividing the property on 19 May 2014 No GEO.6818.104.22.1684.MK for lands No. 573, 574, 575, 576, 577, 578, 579, 580, 581, 582, 582 and 583 – communication area, internal road.
The foregoing division is recorded in the land registry of the County Office in Słupsk and in the District Court in Słupsk, 7th Land and Mortgage Register No. KW SL1S/00098650/3, where currently the divided lands are registered.
On 06.08.2014 ENERGA – OPERATOR S.A. Gdańsk , Branch in Koszalin prepared an Appendix to the conditions Nr 13/P81/00827 issued on 18.03.2013 on connecting a small single-family and twin housing estates on lands No. 573, 574, 575, 576, 577, 578, 579, 580, 581, 582, 582 and 583 to the power grid. The Appendix registered the new divided lands. The parties concluded an agreement on connecting the land to a power grid No 13/P81/R00827 (Małe Wytowno).
The company submits an application to the County Office in Słupsk on changing the name of the investor and obtains a Decision No. 521-1/12/13 as of 15 November 2013 No AB-I-B.6740.434.1.2012 on the permission to build the sewage system with house drains, waste pump room PR1 and PR2 with pressure lines and energy supply, storm water drainage with house drains from street inlets, a reservoir and ditch outlet, internal roads and sidewalks in Wytowno, Ustka commune (Duże Wytowno ).
The decision is final as of 29.07.2014.
The company also obtained a Decision No 522-1/12/13 as of 27 December 2013 No AB-I-B.6740.433.2012 on building the pressure line of the sewage system, the sewage system with house drains and on rebuilding communal roads on lands No. 46,47,52,80,84,87,83/69, 86/100, 351,355 in Wytowno, Ustka commune (Duże Wytowno). The Decision is final as of 29.07.2014.
The company submits two building permits together with designs for a water supply network with connections for the investment (Duże Wytowno).
On 29 May 2014 the County Office in Słupsk issues as Decision No. 328/2014 (AB-I-A.6740.54.2014) to accept the building project and give permit to build the water supply network with connections on lands within the Duże Wytowno investment. The decision is final as of 29.07.2014.
On 29 May 2014 the County Office in Słupsk issues as Decision No. 329/2014 (AB-I-A.6740.53.2014) to accept the building project and give permit to build water supply network with connections on lands within the Duże Wytowno investment. The decision is final as of 29.07.2014.
For Duże Wytowno the company has already collected various offers for the execution and completing of the project pursuant to the building designs and investor’s cost estimate.
In June 2014 the investor of Małe Wytowno, i.e. the company, submits a building project to the County Office in Słupsk for paving the land No. 583 in Wytowno, Ustka commune and create an access internal road. On 22 August 2014 the company obtains a certificate No. AB-I-E.6743.161-1.2014 from the County Office in Słupsk on accepting the plan for paving the road on land No. 583.
Currently the company collects offers for the execution and building of Małe Wytowno based o the building designs and investor’s cost estimate.
The company starts selling lands No. 573, 574, 575, 576, 577, 578, 579, 580, 581, 582, 582 within Małe Wytowno, located in Wytowno, Ustka commune pursuant to the preliminary agreement for the sales of property – lands, divided into separate plots and payment agreement for particular investments on technical infrastructure for every land together with an access internal road.
The company just started selling 125 lands in Duże Wytowno.
